Terms of Service

These Terms of Service (“Terms”) govern your use of the North Fox Digital website at northfoxdigital.com and any consulting services we provide (collectively, the “Services”). By accessing our website or engaging our services, you agree to be bound by these Terms. If you do not agree, please do not use our Services.

1. Acceptance of Terms

By accessing northfoxdigital.com or purchasing any of our services, you confirm that you have read, understood, and agree to be bound by these Terms, along with our Privacy Policy, which is incorporated herein by reference. These Terms constitute a legally binding agreement between you and North Fox Digital.

2. Services Described

North Fox Digital provides federal contractor readiness consulting services including, but not limited to:

  • SAM.gov profile audits and health reports
  • SAM.gov registration and renewal assistance
  • NAICS code review and optimization
  • Capability statement writing and editing
  • Federal profile optimization packages

Our services are advisory in nature. We assist clients in understanding and improving their federal contractor profiles, but we do not guarantee any specific outcome, contract award, or government approval. Final decisions regarding SAM.gov registrations and contract awards rest with the relevant federal agencies.

3. Eligibility

Our services are intended for small business owners, federal contractors, and business representatives who are at least 18 years of age and legally authorized to enter into contracts on behalf of their organization. By using our services, you represent and warrant that you meet these requirements.

4. Payments & Refunds

Payment: Fees for services are due as specified in your service agreement or at the time of purchase. We accept major credit cards and ACH bank transfers. All prices are in USD.

Free SAM Reports: Our SAM Health Report is provided at no charge. No payment information is required to receive a free report.

Paid Services: Fees for paid consulting engagements are non-refundable once work has commenced, except as described below.

Refund Policy:

  • If you cancel before work begins, you are entitled to a full refund
  • If work has commenced but is less than 25% complete, you may receive a partial refund at our discretion
  • Once a deliverable has been provided, no refund will be issued for that deliverable
  • In cases of duplicate charges or billing errors, we will issue a full correction promptly

5. Intellectual Property

Our content: All content on northfoxdigital.com, including text, graphics, logos, and software, is the property of North Fox Digital and protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works without our written permission.

Your deliverables: Upon full payment for a consulting engagement, you own the deliverables we create specifically for you (e.g., your capability statement, your revised profile content). We retain the right to use anonymized, non-identifiable versions of our methodologies and general approaches in future work.

6. Confidentiality

We treat all client information with strict confidentiality. We will not disclose your business information, SAM.gov data, or project details to third parties except as required to deliver your services (e.g., to a subcontractor bound by equivalent confidentiality obligations) or as required by law.

By engaging our services, you agree not to disclose our proprietary methodologies, templates, or pricing structures to third parties without our written consent.

7. Disclaimer of Warranties

OUR SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT OUR SERVICES WILL RESULT IN ANY PARTICULAR GOVERNMENT APPROVAL, CONTRACT AWARD, OR BUSINESS OUTCOME. FEDERAL PROCUREMENT DECISIONS ARE MADE SOLELY BY GOVERNMENT AGENCIES OUTSIDE OUR CONTROL.

We make reasonable efforts to ensure the accuracy of information provided in our reports and recommendations, but we do not guarantee that all information is complete, current, or error-free.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NORTH FOX DIGITAL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, OR LOST BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF OUR SERVICES.

Our total liability for any claim arising from our services shall not exceed the amount you paid us in the 90 days preceding the claim.

9. Indemnification

You agree to indemnify and hold harmless North Fox Digital and its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from your use of our services, your violation of these Terms, or your infringement of any third-party rights.

10. Termination

Either party may terminate a service engagement with written notice. We reserve the right to suspend or terminate access to our website or services for users who violate these Terms or engage in conduct we deem harmful to our business or other clients.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Oregon, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Portland, Oregon, and you consent to the jurisdiction of such courts.
